The fund will close upon the completion of the sale of all units, totaling $1.48 billion. At that time, the owners will have the right to sell their shares, either during the subscription, internally, or to external buyers.

Ownership Structure:

• Share Value: A 1% share is valued at $14.8 million.
• Investment Options: Investors can choose to start with 1%, 2%, or up to 4.7%, with a maximum limit of 4.9% for any single investor.

• Premium Ownership:
  
  • A+: Investors holding 2% ownership are classified as A+ shareholders.
  • A++: Investors holding 3% ownership are classified as A++ shareholders.
  • Board Membership: Investors with 4% ownership are granted a seat on the Board of Directors. No strategic decisions can be made without their approval, and their names will be listed among the largest shareholders in the fund.
• Lockup Period: A four-year lockup period applies, during which shares cannot be sold prior to the IPO. However, shareholders with ownership of $1.48 million or more (Tier B and above) may be granted exceptions.

• The highest ownership unit available, ensuring you a leadership and influential role.

• Available Units: Only 8 units
• Total Value of Units: $473.6 million
• Value per Unit: $59.2 million

• Significant Ownership Stake: 4% of the company
• Direct Representation: You will have the authority to represent the company in activities and decisions.
• Strategic Decision Power: No strategic decisions regarding company activities will be made without your approval.

• Employee Appointments: You will have a say in the hiring of 34 key employees in the company’s offices, allowing you to shape the internal structure and ensure long-term success.

• Highly Limited Units: Only 8 units available.
• Active Management Role: A unique chance to directly influence major strategic decisions.

Ownership and Investment Conditions

- A single investor, whether an individual, company, or bank, will be allowed to hold no more than 4.9% of the financial assets.

- Once the $1.48 billion target is met, the doors will be closed to:

  - Angel investors.

  - New accounts.

- An exception will be made for offshore accounts operating under annual advisory contracts.
